1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and Braun Capital concerning your access to and use of NMFR Trading.

By accessing, registering for, purchasing, subscribing to, downloading, installing, or otherwise using any NMFR Trading website, software, browser extension, Sidecar product, calculator, indicator, alert, market-information feature, educational material, or related service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you use NMFR Trading on behalf of a company, business, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

We may update these Terms periodically.

When material changes are made, we may provide notice through our website, your account, email, or another reasonable method.

Your continued use of NMFR Trading after updated Terms become effective constitutes acceptance of the revised Terms.

2. Description of Services

NMFR Trading provides software, educational resources, trading-related tools, calculators, market information, productivity tools, discipline tools, browser-based utilities, notifications, alerts, news-related features, and other services intended to assist users with organizing, reviewing, and evaluating trading-related information.

NMFR Trading may provide features including:

• Trading calculators
• Position-size calculators
• Risk-management calculators
• Daily loss and drawdown tools
• Opening-range tools
• Trading journals
• Market dashboards
• Watchlists
• Trading alerts
• Market news
• Economic information
• Trading discipline tools
• Browser extensions
• Sidecar tools
• Technical indicators
• Charts
• Statistical information
• Artificial intelligence-powered features
• Audio or text market commentary
• Third-party data integrations

Features may be added, changed, suspended, replaced, restricted, or discontinued at any time.

NMFR Trading is not a broker-dealer, investment adviser, financial planner, securities exchange, bank, tax adviser, law firm, or fiduciary.

NMFR Trading does not execute securities transactions on your behalf.

NMFR Trading does not maintain custody of your funds or securities.

NMFR Trading does not control your brokerage account.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use NMFR Trading.

By using NMFR Trading, you represent and warrant that:

• You are at least 18 years old.
• You have legal capacity to enter into these Terms.
• Your use of NMFR Trading complies with applicable law.
• You are not legally prohibited from using the Services.
• Information you provide to us is truthful and accurate.

We may restrict access to certain products or services based on geography, legal requirements, regulatory requirements, payment availability, technology limitations, security considerations, or other legitimate business reasons.

4. Account Registration

Certain NMFR Trading features may require you to create an account.

You agree to provide accurate, current, and complete information when creating an account.

You are responsible for maintaining the confidentiality and security of your account credentials.

You are responsible for all activity conducted through your account.

You agree to promptly notify NMFR Trading if you believe your account has been accessed without authorization.

You may not:

• Sell your account.
• Transfer your account.
• Share paid login credentials without authorization.
• Allow unauthorized users to access paid services.
• Use another person’s account without permission.

We may suspend, restrict, or terminate accounts that we reasonably believe involve:

• Fraud
• Credential sharing
• Trial abuse
• Subscription abuse
• Security threats
• Unauthorized commercial use
• Illegal activity
• Violations of these Terms

5. Subscription and Billing

Certain NMFR Trading products and features may require a paid subscription.

The applicable subscription price, billing frequency, trial terms, promotional terms, and taxes will be disclosed at or before checkout.

By purchasing a paid subscription, you authorize Braun Capital and its third-party payment processors to charge your selected payment method for:

• Subscription fees
• Renewal fees
• Applicable taxes
• Other charges you authorize

Unless otherwise stated at checkout, recurring subscriptions automatically renew until canceled.

Your subscription will renew at the price disclosed to you in accordance with applicable law.

If we materially change the price of a recurring subscription, we will provide notice when required by applicable law before the new price takes effect.

You are responsible for maintaining an accurate and valid payment method.

Failed, expired, declined, disputed, or reversed payments may result in suspension or termination of paid access.

Payment processing may be handled by third-party payment processors.

Braun Capital does not necessarily receive or store your full payment-card number.

6. Free Trial and Cancellation

NMFR Trading may offer eligible users a 14-day free trial.

Unless otherwise stated during signup:

• No normal subscription fee is charged during the free-trial period.
• A valid payment method may be required.
• The price that applies after the trial will be disclosed before enrollment.
• Your subscription will automatically convert to a paid subscription if you do not cancel before the trial expires.
• Your payment method will then be charged according to the billing schedule disclosed during enrollment.

You may cancel through the subscription-management method provided in your NMFR Trading account or another cancellation method we make available.

Cancellation prevents future renewals.

Cancellation generally does not reverse a charge that has already been properly processed.

Additional terms regarding billing, cancellation, trials, and refunds are contained in our Refund & Cancellation Policy.

We may limit free trials to prevent abuse.

Trial eligibility may be limited based on identifiers including:

• Individual
• Account
• Household
• Payment method
• Device
• Email address
• Other reasonable fraud-prevention identifiers

7. Permitted and Prohibited Use

Braun Capital grants you a limited, revocable, non-exclusive, non-transferable right to access and use NMFR Trading for lawful personal or authorized business purposes.

Except where expressly authorized, you may not:

• Copy or reproduce NMFR Trading software.
• Republish proprietary NMFR Trading content.
• Resell access to NMFR Trading.
• Sublicense NMFR Trading products.
• Reverse engineer proprietary software.
• Decompile or disassemble our software.
• Attempt to extract proprietary source code.
• Scrape or crawl the Services in an unauthorized manner.
• Circumvent subscription restrictions.
• Circumvent trial limitations.
• Circumvent authentication or security systems.
• Share paid accounts without authorization.
• Attempt to gain unauthorized access to systems or databases.
• Overload or disrupt NMFR Trading infrastructure.
• Introduce viruses, malware, scripts, or malicious code.
• Remove copyright or trademark notices.
• Misrepresent our content as your own.
• Use proprietary NMFR Trading data to build a competing commercial product without authorization.
• Use NMFR Trading in violation of securities laws.
• Use the Services for fraud, manipulation, harassment, abuse, or illegal conduct.

All rights not expressly granted are reserved.

NMFR Trading software, branding, designs, interfaces, logos, indicators, graphics, text, methodologies, and proprietary content are owned by Braun Capital or used under applicable license.

8. Disclaimers, Liability, Termination and Governing Law

No Investment Advice

NMFR Trading provides software, educational, informational, and analytical tools.

Nothing provided through NMFR Trading constitutes investment advice, financial advice, legal advice, tax advice, brokerage services, personalized securities recommendations, or fiduciary advice.

You are solely responsible for every trading and investment decision you make.

Market Data and Information

Market data, quotes, news, alerts, calculations, indicators, artificial intelligence output, analysis, economic information, and third-party data may be delayed, incomplete, incorrect, unavailable, interrupted, or subject to error.

You should independently verify material information before making financial or trading decisions.

No Warranty

To the fullest extent permitted by law, NMFR Trading is provided on an “AS IS” and “AS AVAILABLE” basis.

Braun Capital makes no guarantee that NMFR Trading will be uninterrupted, error-free, profitable, completely accurate, completely secure, or suitable for any particular trading strategy.

Limitation of Liability

To the fullest extent permitted by applicable law, Braun Capital, NMFR Trading, and their owners, officers, employees, contractors, affiliates, suppliers, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes damages arising from:

• Trading losses
• Investment losses
• Lost profits
• Lost opportunities
• Lost data
• Delayed market information
• Incorrect market information
• Technology failures
• Brokerage failures
• Execution failures
• Market interruptions
• Third-party outages

Where permitted by law, Braun Capital’s aggregate liability arising from or relating to NMFR Trading will not exceed the amount you paid to Braun Capital for NMFR Trading during the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, applicable limitations will apply only to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Braun Capital, NMFR Trading, and their owners, officers, employees, contractors, affiliates, licensors, and service providers against claims, losses, damages, liabilities, costs, and reasonable legal expenses resulting from:

• Your misuse of NMFR Trading.
• Your violation of these Terms.
• Your violation of applicable law.
• Your infringement of another party’s rights.

Termination

You may stop using NMFR Trading at any time.

Braun Capital may suspend or terminate access if we reasonably believe that you have:

• Violated these Terms.
• Used the Services fraudulently.
• Failed to pay applicable charges.
• Threatened system security.
• Abused trial or subscription systems.
• Engaged in illegal activity.
• Misused NMFR Trading intellectual property.

Sections of these Terms that by their nature should survive termination will remain in effect after termination.

Governing Law

These Terms and any dispute arising from your use of NMFR Trading will be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where applicable consumer-protection laws require otherwise.

To the extent legally permitted, disputes arising from these Terms or your use of NMFR Trading will be brought in an appropriate state or federal court having jurisdiction in Wyoming.

Entire Agreement

These Terms and the policies incorporated into them constitute the entire agreement between you and Braun Capital concerning your use of NMFR Trading.

If any provision is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
